Terms & Conditions

This sets out the terms and conditions and privacy policy governing the use of Pharmaceutical Pricing - a service owned and provided by URCH Publishing Ltd.

Please read through these terms carefully. By registering as a user and/or accessing any information or other material (the "Information") found in or obtained via any part of this website (the "Site"), you are deemed to have entered into this Agreement with URCH Publishing Ltd and to have agreed to be bound by the terms set out below.

Interpretation

In these terms and conditions the following words or phrases shall, unless the context otherwise requires, have the following meanings:

"Company" means URCH Publishing Ltd, PO Box 27554, London SE4 2GZ, UK

"Information" means the charged for content including country profiles and pay-for reports

"Pharmaceutical Pricing" means the website primarily hosted at www.pharmaceuticalpricing.com

"Services" means information and content including news and associated services supplied by URCH Publishing through Pharmaceutical Pricing

"Site" means the website primarily hosted at www.pharmaceuticalpricing.com

"Subscriber" means the person or company who has paid the Subscription to access and use the Services; in case of a company it shall include the individuals nominated as Users

"Subscription" means the fee charged by URCH Publishing for use of the Services (plus VAT where applicable)

"Start Date" means the date from which the Services are first made available to the Subscriber;

"Subscription Period" means the period from the Start Date or anniversary thereof

"User(s)" means the individual or nominated employees of a Subscriber company authorised to use the Services

1. The Services


1.1 The Subscriber shall be entitled to use the Services only in accordance with these Terms

1.2 The right to use the Services is personal to the Subscriber and the Subscriber may not permit any other person to gain access to the Services.

1.3 The Subscriber shall use all reasonable endeavours to ensure that its Users comply with these Terms.

1.4 URCH Publishing may withdraw the Services or any component thereof by giving notice in writing at any time subject to a refund on a pro rata basis of any Subscription paid in advance.

1.5 URCH Publishing reserves the right without notice to change the content, presentation or facilities of the Services.

1.6 URCH Publishing reserves the right to refuse Subscriptions.

2. Scope Of Licence


2.1 Permitted uses.
The Subscriber may:

(a) display the Information on the screen of a terminal and print one copy of such Information for Subscriber's non-commercial use.

(b) print or download reasonable portions of the Information for use in carrying out own business management and decision-making purposes.

(c) on an occasional and irregular basis, provide insubstantial portions of the Information in memoranda, reports and presentations provided that these insubstantial portions are only made available in print or by secure electronic means to a limited number of individuals within the Subscriber's organisation.

2.2 Subscriber must include copyright notices of URCH Publishing and original source attribution whenever providing any portion of the Information to any other person.

2.3 Prohibited uses
This licence is for a single or small group usage, there are other licences for company-wide usage. Except as expressly permitted in clause 2.1 Subscriber may not:

(a) directly or indirectly, allow any other person to use or share username or password, or to have access to the Information.

(b) Any breach of this restriction may result in immediate termination of Subscriber's access to the Information and/or liability for damages.

2.4 Except as expressly permitted in clause 2.1, Subscriber may not;

(a) reproduce or store in or transmit to any other website, newsgroup, mailing list, electronic bulletin board, local area or wide area network, or regularly or systematically store in electronic or print form all or any part of the Information or;

(b) modify, publish, transmit, participate in the transfer or sale of, reproduce, create derivative works from, distribute, perform, display or in any way exploit all or any part of the Information (including use as part of any library, archive or similar service) without the prior written consent of URCH Publishing.

3. Intellectual Property Protection


3.1 The contents and design of the Information and the Site, and all materials distributed in conjunction with the Information and the Site, including documentation, are the copyright of URCH Publishing or certain other affiliates.

3.2 All rights are reserved. You may not use or reproduce or allow anyone to use or reproduce any trade marks or other trade names appearing on the Site or for any reason without written permission from URCH Publishing.

3.3 The software that operates the Site is proprietary and you may not use it except as expressly allowed under the terms of this Agreement. You may not copy, reverse engineer, modify or otherwise deal with the software.

4. Fees And Payment


4.1 Access to the Services may be subject to a fee. All payments (including applicable taxes) must be made in full when due.

4.2 If use of the Site is terminated by URCH Publishing, Subscriber will be entitled to receive a refund of any charges or pre-payments that remain unused at the time of termination unless such use is terminated because you are in breach of this Agreement. Subscriber will continue to be responsible for any fees or other charges incurred prior to such termination.

4.3 URCH Publishing reserves the right to increase the fees for Subscription for Services at any time.

5. Duration And Termination


5.1 This Agreement shall be deemed to commence on the Start Date and expire at the end of the Subscription Period unless renewed by the Subscriber by payment of further Subscription.

5.2 URCH Publishing may terminate the access to the Services without notice if:

(a) any Subscription due is unpaid for more than 7 days after becoming due;

(b) the Subscriber commits any breach or default of any of these Terms;

(c) the Subscriber enters into liquidation or any arrangement or composition with its creditors or if a receiver or administrator or administrative receiver is appointed against any of its assets or business.

6. Security (Passwords)


6.1 Subscriber is solely responsible for the confidentiality and use of and access to the Information and the Site using a username and sign-on password.

6.2 Subscriber will provide URCH Publishing with accurate, complete registration information (including an email address) and inform URCH Publishing of any changes to such information.

6.4 If the Subscriber becomes aware of, or suspects any unlawful or any unauthorised use of any password, it should be brought to URCH Publishing's attention as soon as possible.

6.3 The Subscriber shall indemnify and keep indemnified URCH Publishing against any costs, claims, losses or damages arising out of the unauthorised use of any password.

7. Liability


7.1 The party signing confirms having the authority to bind the entity on whose behalf the contract is being entered into.

7.2 URCH Publishing shall not be liable for any failure or incompatibility of any kind of any equipment or Internet connection or disruption of any communication facility, including internal or external network services.

7.3 URCH publishing will use reasonable endeavours to provide the services with reasonable skill and care but will affect the services on the basis that they are not required for any purpose different from the usual purpose for which such services are required and the Subscriber shall be deemed to have full knowledge of the nature and consequences of the services. It is the responsibility of the Subscriber to satisfy itself that the services are suitable for its requirement and the company does not profess to have any skill or judgement in relation to the particular needs of the Subscriber.

7.4 URCH Publishing shall use reasonable endeavours to ensure that the Services are available for access without any interruptions and are free from fault.

7.5 URCH Publishing does not warrant that the material contained in any of the services will be accurate, complete or free from fault.

7.6 URCH Publishing shall use all reasonable endeavours to provide the Services to the Subscriber within the time estimate given but all time estimates agreed to by the Company are business estimates only (but given in good faith) and the Company will not be liable for any loss, injury, damage or expenses arising directly or indirectly from any delay and time shall not be of the essence in respect of the Company's performance of its obligations.

7.7 except as stated herein, all warranties and conditions (implied by statute, common law or otherwise) are hereby excluded to the maximum extent permitted by law.

7.8 The Subscriber shall indemnify and keep indemnified URCH Publishing against all losses, costs, claims, demands and expenses incurred by URCH Publishing as a result of any breach by the Subscriber, its agents or employees of these Terms.

7.9 Nothing herein shall exclude or limit the liability of any party for death or personal injury resulting from the negligence of that party.

8. Force Majeure


8.1 URCH Publishing Ltd will not be liable or deemed to be in default for any delay or failure in performance or interruption of the delivery of Information resulting directly or indirectly from any cause or circumstance beyond its or their reasonable control, including but not limited to failure of electronic or mechanical equipment or communication lines, telephone or other interconnect problems, computer viruses, unauthorised access, theft, operator errors, severe weather, earthquakes or natural disasters, strikes or other labour problems, wars or governmental restrictions.

9. Miscellaneous


9.1 A failure or delay by either party to enforce any right under these Terms is not an implied waiver of the same or any other right in the future.

9.2 If any provision in these Terms is held or made invalid by a court, statute, rule or otherwise, the remainder of these Terms will not be affected.

9.3 These terms shall be governed by and construed in accordance with the laws of England and Wales and shall be subject to the non exclusive jurisdiction of the English courts.

Privacy Statement and Data Protection

URCH Publishing fully respects your right to privacy, and will not collect any personal information about you on this website without your clear permission. Any personal information, which you volunteer to URCH, will be treated with the highest standards of security and confidentiality, strictly in accordance with the Data Protection Act, 1988. URCH does not collect any personal data about you on this website, apart from information which you volunteer (for example by e-mailing us or by using our online forms).

Any personal information you give us through this website maybe be used by URCH Publishing to keep you informed of changes to our products and services, and of special offers that we think might be of interested to you. URCH occasionally allows other responsible companies to offer our registered customers information about their products and services.
